THIS AGREEMENT, last revised on May 7, 2010, is between Millennial Solutions, LLC (“Service Provider”), Dawson Memorial Baptist Church (“Client”, “We”, “Us”, “Our”), and Client’s Users (“User”, “Member”, “You”).

Greetings
Welcome to Dawson Community Online! We hope you are blessed by this web site (“Site”)! We provide an interactive online community which includes tools to help share and update prayer requests, let others know you are praying for them, and send encouraging messages to one another. We want you to feel safe and be encouraged while visiting our Site, so please take a moment to review the following helpful information.

Our Commitment to Your Privacy
Your privacy is very important to us and our Service Provider, so this Privacy Policy has been provided in order to help you understand how the information you provide is used on this Site. This is done to help you make informed decisions when using the Site. We will never sell, lease or rent your confidential information. Please note that by visiting this Site, you consent to the collection of your information as set forth in this Policy.

The Way We Use Information
Our aim is to share prayer requests, encouragement, and other communication between us and our members, visitors, and other users.

Information You Provide
We use information that you provide as a way for our organization to communicate and interact with you. When you register on the Site you provide certain basic personal information, such as your name and email address so that we can send you prayer updates, let you know when prayers have been answered, and other important information. The information you provide also enables us to offer personalized Services such as sharing prayer requests, joining prayer groups, making friends, sending messages, etc. Once you join, you can set up your profile. Your name and profile picture will be used in our online member directory. As we better understand the needs of our members, additional features may be available which will help us serve you better.

So that we can pray for one another, prayer requests for members may be included on the Site. We request that anyone setting up prayer requests asks permission from the person receiving prayer before including any personal information.

When you submit a prayer request as "Public", your submission is no longer treated as confidential. You are giving the us permission to post your prayer request on a page which anyone can see and subsequently shared with others by email, widget, or other means. You are giving us permission to, without charge, share with others your prayer request and any updates, through any means we deem as appropriate, including written materials such as newsletters. You acknowledge that you are responsible for any submission you make. This means that you (and not we) have full responsibility for the message, including its legality, reliability, appropriateness, originality, and copyright.

We encourage you to invite friends to this Site when appropriate. When you use this Site to invite a friend, we will ask you for information needed to send the invitation, such as your friend’s email address.

When you use our Site, the information you provide to share prayer requests, create a personal profile, form groups, join groups, make friends, send messages, etc. is retained so that you can see prayer tallies, keep a prayer list, find a message that you have sent, or retrieve other information that is helpful to you.

Information We Collect
When you visit our Site, certain non-personally identifiable information is automatically collected and stored, such as your computer’s IP address, aggregate user data, and browser type. This information allows us to better manage and improve our Services, tailor our content to your needs, and it is used for security purposes. In addition, our Service Provider stores certain information from your browser using “cookies.” Cookies are small data files that are stored on your hard drive that help you navigate a website as easily as possible. You can block, erase or be warned of cookies (check the instructions for your browser), but if you do not allow cookies you may not be able to register, use, or access certain Site features. Our Service Provider’s cookies do not collect personally identifiable information about you and do NOT link cookie data to your personal information to tell us who you are.

Sharing Information with Third Parties
We are committed to keeping your information secure; therefore, we do NOT share your personal information with any third party marketers. Since it does not identify individuals, our Service Provider may aggregate interesting information about our user base as a whole and share it with us. Under NO circumstances will we or our Service Provider rent, lease, or sell your personal information. We and/or our Service Provider may share your personal information in situations when: 1) it is reasonably necessary to offer the Service, 2) it is legally required, or 3) it is permitted by you.

1. Reasonably necessary circumstances
To offer this Site, we provide information to a Service Provider to host the Site at a facility for servers. Other services that would require the use of personal information would include the ability to process payments for donations. In connection with these offerings and our operations, our Service Provider may have access to your personal information for use for a limited time in connection with these activities. Where we utilize third parties for the processing of any personal information, we implement reasonable contractual and technical protections limiting the use of that information to the pre-specified purposes.

2. Legally required circumstances
We also may disclose personal information when we are required to or we believe it is appropriate to comply with the law (e.g., a lawful subpoena, warrant or court order) or at the request of law enforcement or government representatives; to enforce or apply this Privacy Policy or our other policies or agreements; to protect the rights, property or safety of our organization, our employees, our users or any other person; or to investigate and protect against fraudulent, abusive, or unlawful use of our Site or our Service. This includes protecting against intellectual property infringement or misrepresentations of the identity of a user.

3. Circumstances permitted by you
You are responsible for any information you share on this Site. For your profile we allow you to set your own privacy settings and choose what other members can see on your profile. Please be mindful that any information you choose to post or share while using the Site (such as profile information, prayer requests, encouragements, etc.) may in turn be shared with other users in accordance with the privacy settings you select. For instance, prayer requests you post as "Public" may be equipped with a prayer widget which allows that prayer request to be posted on webpages outside the Site.

Your Control Over Your Information
Your profile information can at any time be edited or deleted by logging into your account and accessing your profile editor. A backup copy of removed information may persist for a reasonable period of time but will not be generally available to members. You may also deactivate your account at any time, at which point your profile is no longer accessible to us or to other members. Be mindful that certain message communications cannot always be entirely removed since two copies are stored (a personal message sent to another user for example). Also be mindful that even though you have the ability to set privacy controls, any information you have shared with others cannot be controlled by us. Cached, copied, shared, or otherwise saved versions of information that others have stored may exist even after deletion on our Site.

Security
We endeavor to safeguard and protect your information. When you submit information on the Site, such information is protected both online and offline. The servers in which our Service Provider stores your personal information are kept in a secure physical environment.

We may provide links to third party providers' websites through a “Donate Now” button or “Register” link that accepts credit card or other payment transactions. Such links will be encrypted for security to protect your privacy, but we do not accept any liability for the security of credit card or other data transmitted to such third parties.

We follow generally accepted industry standards to protect the personal information submitted to us, both during transmission and once we receive it. No method of transmission over the Internet or any method of electronic storage is 100% secure, however. Therefore, while we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.

Children's Privacy
Protecting the privacy of the very young is especially important. For that reason, we never knowingly accept, collect or maintain information on our Site from those who are under 13 years of age, and no part of our Site is structured to attract anyone under 13.

Data Collection Practices by Third Parties
You can access certain third party websites through our Site. When you opt to enter into a transaction with, receive information from, or provide information to such third parties, you are bound by their privacy and data collection practices and we assume no responsibility relating to them. We do not endorse, nor are we liable for the accuracy of the privacy policies and/or terms and conditions of any third party on the Site. Third party entities are independent and are not affiliated with us. You should read the privacy policies of such third party websites to make sure that you agree to their terms before using such websites. If you wish to opt out of receiving mailings from such third parties, you must do so directly with them, or as otherwise provided on or through their respective websites.

European Union and Other Foreign Nations
This Site is governed by and operated in accordance with the laws of the United States of America. We make no representation that the Site is governed by or operated in accordance with the laws of other nations. By using this Site and submitting any personal information, users from outside of the United States: (a) acknowledge that this Site is subject to United States law, (b) consent to the transfer of personal data to the United States, and (c) waive any claims that may arise under their own national laws.

Governing Law
You agree that this Privacy Policy and any dispute that might arise between you and us and/or our Service Provider, shall be governed and construed in accordance with the laws of the State of Alabama without regard to principles of conflict of laws. Any controversy or claim arising out of or relating to this Agreement or the breach thereof, shall be settled by arbitration and not court proceedings, administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The parties agree that the determinations made by the arbitrator(s) shall be final and binding on all parties to the same effect as a final judgment in court proceedings. Either party may initiate arbitration by delivering to the other party a written demand for arbitration with a copy to the American Arbitration Association. Likewise, all claims arising as a result of the arbitration proceedings shall also be resolved in said arbitration proceedings. The arbitrator(s) will have no authority to award punitive or other damages not measured by the prevailing party's actual damages, except as may be required by statute. Any decision rendered by the arbitrators shall include findings of fact and conclusions of law. The arbitration shall take place in Birmingham, Alabama, and shall be conducted in the English language. If any provision of this Policy, or the application thereof to any person or circumstances, is held invalid for any reason, then such provision shall be deemed superseded by a valid, enforceable provision that matches, as closely as possible, the original provision, and the other provisions of this Policy shall remain in full force and effect. The failure of either party to insist upon strict performance of any provision of this Policy shall not be construed as a waiver of any provision or right. Unless expressly provided otherwise, this Privacy Policy and the Terms of Use Agreement for this Site are the entire Agreement between you and us and our Service Provider with respect to the use of this Site.

Miscellaneous
We and/or our Service Provider make no guarantee and take no responsibility for any material posted to the Site by members, users, or other third parties. We and/or our Service Provider take no responsibility for submitted prayer requests and any implications thereof. We and/or our Service Provider reserve the right to remove at our sole discretion and without explanation any prayer requests, messages, or any materials whatsoever that are objectionable. We and/or our Service Provider also reserve the right at our sole discretion to terminate any membership in our online community for the inappropriate use of this Site or abuse of its members.

Policy Changes
This Privacy Policy may be updated from time to time without notice so please check back periodically. Changes to the Privacy Policy will be posted on this Site and the effective date of the policy will be modified to reflect the effective date of the most recent version.

Your Consent
By using this Site, you consent to the collection and use of information by the Site and/or our Service Provider. You acknowledge that at any time this Privacy Policy may be changed, amended, modified, or revised. Those changes will be posted on this page so that you are always aware of the current Privacy Policy that is in effect.

Thank you for reviewing the Terms of Use for Dawson Community Online! The purpose of this Site is to share prayer requests, encouragement, and other communication between us and our members. Please take the time to look over the following Terms of Use because by using this Site and our Services, you are automatically agreeing to abide by them. This applies whether you register or not. Of course, if you don’t agree with the Terms, please do not use this Site. The Terms of Use Agreement may be changed at any time so please continue to check for changes. Your continued use of this Site means that you accept any changes.

Privacy
We care about your privacy. Our Privacy Policy explains the practices that apply to your information when you use the Site. Your use of the Site signifies your consent to the Privacy Policy whether you register or not.

Changes
We and/or our Service Provider reserve the right, at our sole discretion, to alter or delete material from the Site at any time. At any time the Terms of Use may change, be modified, added to, or portions deleted by updating this page. The date of the most recent revision will be posted at the top of this page. Please review the Terms of Use periodically to familiarize yourself with any changes or revisions. You signify your acceptance of any new Terms of Use by continuing to use the Site or the Service after changes to the Terms of Use have been posted. Do not use or access the Site or the Service if you do not agree to abide by this or any future Agreement.

Member Account Registration
We make various Services available to individuals who register on the Site as Members. There is no charge for membership. To become a Member of the Site, you represent and warrant that: (a) you are 13 years of age or older; (b) all registration information you submit is truthful, current, accurate, and represents you as an individual; (c) you will update your registration information to maintain its accuracy; (d) you will maintain the security of your password by not disclosing it to others; (e) you will not create multiple accounts for your use; (f) your use of either the Site or Service does not violate any applicable law or regulation. We and/or our Service Provider reserve the right to cancel the account and delete the profile of any user perceived to be in violation of these requirements. Users cannot regain access to the Site after having their account cancelled.

Termination
You may end your membership at any time for any reason by closing your account with us. In order to provide the encouraging and safe environment that members of the Site expect, we may terminate your membership at any time without prior notice, and for any reason we deem necessary. Even after membership is terminated, this Agreement will remain in effect. We reserve the right to refuse postings or edit them. You agree that we and/or our Service Provider will not be liable to you or any person or entity making a claim through you for any termination or suspension of your access to the Site. We and/or our Service Provider also reserve the right to discontinue or suspend the Site at any time without notice.

Prohibited Conduct
You are solely and fully responsible for any and all conduct that takes place in relation to the use of your account. You agree to conduct yourself in an appropriate and lawful manner at all times on the Site. We reserve the sole right to judge what constitutes appropriate and inappropriate behavior in matters not involving the law. If at any time we deem that you have conducted yourself inappropriately or unlawfully, your account may be warned, suspended, or removed and banned and appropriate legal action will be taken if necessary.

The following list contains descriptions of the kinds of harmful or illegal conduct that is prohibited on the Site. This list is not exhaustive and all harmful or illegal conduct, whether expressly described or not, is subject to the same penalty. Regarding your use of the Site or the Service, you agree not to:

engage in illegal and/or unauthorized use of the Site or the Service (including the collecting of contact information, such as names or email addresses, from users by electronic or other means);
use the account of another member at any time or disclose your password to any third party (you agree to notify us immediately if you suspect any unauthorized use of your account or access to your password);
interfere with the Site, or servers or networks connected to the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site;
post private information or sensitive information about an individual publicly without their permission or information that poses a security risk to any person;
post content that would be harmful to minors in any manner;
solicit personal information from anyone under the age of 18;
use automated scripts to collect information from or otherwise interact with the Site or the Service;
use the Site for commercial uses;
upload, post, share, store, or otherwise transmit any content that: is disrespectful to God or the name of Jesus Christ or the Holy Spirit or is objectionable in any way;
makes use of the Site or the Service in an unlawful way;
potentially infringes or misappropriates the intellectual property rights of others, including copyrights, trademarks, service marks, trade secrets, software piracy, and patents held by individuals, corporations, or other entities;
engage in activity that violates the privacy or personal rights of others, including unsolicited or unauthorized advertising, promotional materials, "junk mail", "spam", "chain letters", "pyramid schemes", or any other form of solicitation;
engage in obscene, defamatory or abusive language or post obscene or pornographic materials;
engage in activities, whether lawful or unlawful, that may be harmful to operations, reputation, goodwill, or client relations of this Site.

Rights in Content
You retain full ownership rights of your user content even after posting it to the Site or the Service. You are solely responsible for the content that you post on or through any of the Services, any material or information that you transmit to other user(s), and for your interactions with other users. We do not necessarily review user’s content prior to posting and any content posted to the Site does not necessarily reflect the opinions or the policies of the Site. We make no warranties, express or implied, as to the content or to the accuracy and reliability of the content or any material or information that users transmit to other users. You agree that we are not liable for content that is provided by users. We have no duty to pre-screen content, but we have the right to refuse to post or to edit submitted content. We and/or our Service Provider reserve the right to remove content for any reason, but are not responsible for any failure or delay in removing such material. We and/or our Service Provider may delete any content that in our sole judgment violates this Agreement or which may be offensive, illegal, or violates the rights, harms, or threatens the safety of any person, or which may be too personal in nature, is in conflict with our beliefs, or defames the name of God, Jesus Christ, or the Holy Spirit. We assume no responsibility for monitoring the Services for inappropriate content or conduct. You agree that we are not liable for content that is provided by users.

You represent and warrant that: (a) you either own or have permission to post any content that you post on or through the Site or the Service, and (b) the posting of your content on or through the Site or the Service does not violate the privacy rights, copyright rights, or any other rights of any other person. You agree to repay whatever damages, royalties, or fees that are the result of any content that you post on or through the Site or the Service. You agree that we and/or our Service Provider may, but are not obligated to, remove any Site content or user content for any reason, or no reason, at any time in our sole discretion, with or without notice, and without limitation. You are solely responsible at your sole cost and expense for creating backup copies and replacing any content you post or store on the Site or otherwise provide to us.

You represent and warrant that by posting content to any part of the Site, you automatically grant, and you have the right to grant, to us an irrevocable and transferable license to use, copy, excerpt, publicly perform, publicly display, reformat, modify, translate, and distribute such content. This license is perpetual (meaning the license will not expire until you remove your content from the Site), non-exclusive (meaning you are still free to license your content to anyone you wish to in addition to the Site), fully paid (meaning that we are not required to pay you for the use of the content that you post), worldwide (since the Internet is global in nature) and sublicensable (in order to use internet content delivery networks and other affiliates and subcontractors in providing the Service. For instance we use a Service Provider to host your content). By posting any of your content on or through the Site or Service, you grant us the right to make such copies as we deem necessary in order to facilitate the posting and storage of your content on the Site.

You may remove your content from the Site at any time. The license you previously granted will expire immediately after you remove your content from the Site. You acknowledge, however, that we and/or our Service Provider may retain archived copies of your content.

The Site and the Service contain our Service Provider’s content, which is protected by copyright, trademark, patent, trade secret and other laws, and our Service Provider retains all rights to their content and the Service. Our Service Provider hereby grants you a limited, revocable, non-transferable, nonsublicensable license to access and use the Site strictly in accordance with this Agreement and to reproduce and display the Service Provider’s content (with the exclusion of any software code) solely for your use in connection with viewing the Site and using the Service.

Warranties and Disclaimers
Your use of the Site is at your own risk. Neither we nor our Service Provider, nor any other party involved in creating, producing or delivering the Site is liable for any direct, incidental, consequential, indirect or punitive damages arising out of your access to, or use of, or browsing in the Site. This includes damages to, or arising out of viruses that may infect your computer equipment or other property. Neither we nor our Service Provider represent or warrant that software, content, or materials on the Site or the Service are complete, accurate, reliable, current or error-free or that the Site, the Service, or its servers are free of viruses or other harmful components. You are advised to take proper precautions such as using industry-recognized software to detect and disinfect viruses before using or downloading any such software, content or materials. Without limiting the foregoing, you understand and agree that you download or otherwise obtain content, material, data or software (including any mobile client) from or through the Service at your own discretion and risk and that you will be solely responsible for your use thereof and any damages to your mobile device or computer system, loss of data or other harm of any kind that may result. Under no circumstances shall we be responsible for any loss or damage, including personal injury or death, resulting from use of our Site or Service, from any content posted on or through our Site or Service, or from the conduct of any users of our Site or Service, whether online or offline. We and/or our Service Provider are not responsible or liable in any manner for any user content or third party software or content posted on the Site or in connection with the Service, whether posted or caused by users of the Site, by third parties or by any of the equipment or programming associated with or utilized in the Site or the Service. We and/or our Service Provider put in place rules of conduct which you are required to abide by; however, we and/or our Service Provider are ultimately not responsible for the conduct of any user of the Site or the Service, whether online or offline. We and/or our Service Provider do not control and are not responsible for what users post, transmit or share on the Site and are not responsible for any inappropriate, offensive, obscene, unlawful or otherwise objectionable content you may encounter on the Site or in connection with any User Content or third party software or content, even though we endeavor to maintain high standards on the Site. We and/or our Service Provider cannot guarantee and do not promise any specific results or answers to prayers from use of the Site or the Service. Your use of information and resources on the Site or websites linked to or from the Site is entirely at your own risk.

In any case where a user has posted a link to another website on the Site, we and/or our Service Provider are not responsible for the content, accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by us. Inclusion of any linked website on the Site does not imply our approval or endorsement of the linked website. When you access these third party websites, you do so at your own risk. We and/or our Service Provider take no responsibility for third party advertisements or services which are posted by users on the Site, other websites linked to the Site, or through the Site's Service.

Liability Limitations
In no event will we and/or our Service Provider, our directors, employees, or agents be liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including any damages resulting from reliance on the materials presented or any lost profits or lost data arising from your use of the Site or the Service, even if we are aware or have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the Service during the term of membership. You acknowledge that if no fees are paid to us for the Service, you shall be limited to injunctive relief only, unless otherwise permitted by law, and shall not be entitled to damages of any kind from us and/or our Service Provider, regardless of the cause of action.

Indemnification
You agree to indemnify, defend and hold us and/or our Service Provider, and all our officers, members, managers, directors, owners, agents, employees, information providers, contractors, partners, licensors, licensees, and other affiliated companies (collectively, the "Indemnified Parties") harmless from and against any and all loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees made by any third party due to or arising out of or in connection with any user content, any third party applications, software or content you post or share on or through the Site, your use of the Site or the Service, your conduct in connection with the Site or the Service or with other users of the Site or the Service, or any violation of this Agreement or of any law or the rights of any third party. You shall cooperate as fully as reasonably required in the defense of any claim. We and/or our Service Provider reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which you will cooperate with us in asserting any available defenses and you shall not in any event settle any matter without our written consent.

Security
We and our Service Provider do not desire to receive confidential or proprietary information through this Site. Your personal identifying information will be maintained by us and/or our Service Provider in accordance with the Privacy Policy. Any other information sent to us will be deemed NOT CONFIDENTIAL.

You agree that we and/or our Service Provider are free to use any links to additional resources or third party providers, along with any ideas, concepts, or techniques that you send to us for any purpose, including, but not limited to, developing, manufacturing, and marketing products that incorporate such ideas, concepts, or techniques.

Intellectual Property
The information on this Site is protected by copyright. We and/or our Service Provider reserve all intellectual property rights, including all copyrights and trademark rights.

It is prohibited user conduct to upload, post, or otherwise transmit any material or content on the Site or the Service that violates another person’s trademarks, copyrights, or other intellectual property rights. We and/or our Service Provider do not knowingly provide links to resources, websites or other materials that violate the trademarks, copyrights, or other intellectual property rights of third parties.

Notices, How To Contact Us
All notices to you required or permitted under this Agreement may be sent to you at the last email address you submitted to us, or by regular mail to your last-submitted physical address, if any. You are solely responsible for contacting us with any changes in your contact details. Notices to us shall be submitted to such other address as we may provide at this Site from time to time.

Governing Law, Venue and Jurisdiction
You agree that these Terms of Use and any dispute that might arise between you and us or any of our affiliates, shall be governed and construed in accordance with the laws of the State of Alabama without regard to principles of conflict of laws. The arbitration shall take place in Birmingham, Alabama, and shall be conducted in the English language.

Disputes Between Users
You are solely responsible for your conduct on the Site including your interactions with other users. We reserve the right to monitor any dispute that arises between you and other users. We, however, have no obligation to monitor such disputes.

Modifications
The provisions of this Agreement may be changed or modified at any time. You also may be subject to additional terms and conditions that may apply when you use third party provider content or third party software.

Miscellaneous
These Terms of Use supersede all discussions, communications, conversations and agreements concerning the subject matter hereof. Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect.

Severability
If any provision of this Agreement shall be held or made invalid or unenforceable by a court decision, statute, rule, or otherwise, the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the remaining provisions of this Agreement shall stay in full force and not be affected thereby.
